Direct marketing company Traffix is set to acquire the rights to SendTraffic.com,
a search engine marketing firm. SendTraffic provides full service
search engine marketing solutions to over 100 clients. SendTraffic
also maintains "Certified Ambassador" status with Overture, and is
a member of the Google Research Board.
Traffix suggests that this agreement will generate $10 million in
revenue. The deal is expected to be finalized by the July 1, 2004.
The acquisition calls for Traffix to purchase all of the assets of
SendTraffic for $5.43 million. The payment for SendTraffic will be
comprised of $1.68 million in Traffix common stock, and $3.75 million
in cash.
Commenting on the potential of the SendTraffic business, Jeffrey Schwartz,
Chairman and CEO of Traffix stated: |
"We
believe that SendTraffic has tremendous growth potential to add new
clients from the thousands of businesses that have not begun to tap
into the use of search engines for marketing. Virtually any company
can benefit from using search engine marketing if they are aligned
with an industry expert such as SendTraffic. Furthermore, this type
of growth is not capital intensive."
Greg Byrnes, co-founder and co-owner of SendTraffic, said, "it was
not an easy decision for Craig and me to sell the business. Frankly,
we feel that by merging it with Traffix, we will be able to tap their
tremendous resources and marketing expertise so that we can take this
business to the next level."
"We are very excited because we see so many opportunities to grow
our business with Traffix. These guys have proven themselves with
over 10 years of profitable operations in all forms of direct marketing
media." He added, "collectively, we see the search engine industry
as one of the most effective direct marketing media created to date.
Overall, we are thrilled to be joining the Traffix family."
Byrnes and co-founder Craig Handleman, have agreed to enter into five-year
employment contracts with Traffix.

Yahoo-owned Overture has signed a deal with News Interactive, which
is the digital outlet of News LTD, an Australian news conglomerate.
The deal calls for Overture to provide advertising and search services
to News Interactive and its subsidiaries.
Sites that fall under News Interactive's control are, according to
Andy
Beal, "news.com.au, CareerOne, realestate.com.au and websites
for newspapers such as The Australian, The Daily Telegraph, The Herald
Sun and The Courier Mail."
Nic Jones, News Interactive's managing director, said in an article
that appears in smh.com.au, "we believe that our agreement with Overture
will set a precedent for the Australian industry. By combining the
expertise of both our companies we will capture significant value
in one of the fastest-growing online advertising markets."
This agreement will give Overture exposure to 85% of Australia's Internet
population.

Microsoft has unveiled their new web spam filtering project at Silicon
Valley campus in Mountain View. The goal is to have their new filtering
technology incorporated within their new search engine when it launches
later this year.
According to vnunet.com,
the technology uses a statistical analysis to locate potential spam
pages. No further details about MSN Search's spam filtering technology
were made available.
Spam techniques, such as site mirroring and link farms, are designed
to trick search engines in order to achieve higher rankings on the
result page. Link farms raise rankings by creating unearned links
- the MSN Search engine will apparently measure links to a site to
help determine the value of that page (as do Google, Yahoo and Teoma).
Site mirroring involves duplicating a site and hosting it at different
domain. Mirror sites are then linked together in an attempt to appear
more relevant.
These are just two examples of the type of search engine spamming
that MSN is attempting to curb. Microsoft believes that for 1 billion
webpages, 8% of them are spam pages (80 million).
